Terms and Conditions
These terms and conditions of bi2MEDIA LLC, trading as BI² FILMWORKS, govern both the use of this website (Part A) and all offers, orders and contracts for film, video, audio and related production services (Part B). Every offer we issue refers to this page; the version published here at the time of the offer forms part of the contract.
Part A — Use of this website
Part A applies to every visitor of bi2filmworks.com and bi2media.com, including the BI² Concept Studio and the career portal.
A01Use of this website
The content of this site is provided for general information about our studio, our formats and the way we work. You may use it for personal and business information purposes, provided you do not interfere with its functions, run automated bulk requests or circumvent security measures.
A02Intellectual property
Text, design, trademarks, word and figurative marks and all video and audio content on this site are protected. Reproduction, adaptation or public communication — in whole or in part — requires our prior written consent.
A03Content you submit
You retain your rights in any story ideas, pitches and briefings you send us through our forms or the BI² Concept Studio. You grant us only the right to process that information in order to assess your enquiry and prepare a concept draft. Please do not send confidential documents without arranging it with us first.
A04BI² Concept Studio and cost estimates
Concept drafts, scene plans and cost estimates produced by the BI² Concept Studio are AI-assisted indications based on market assumptions. They are expressly non-binding, do not constitute an offer and create no entitlement to a particular service or price. Only a written offer is binding.
A05No warranty
We prepare the content of this site with editorial care but give no warranty as to its currency, completeness or accuracy. The site is provided without any assurance of uninterrupted availability.
A06Limitation of liability
To the extent permitted by law, our liability is limited to intent and gross negligence. We are not liable for indirect damages, loss of profit or loss of data. Mandatory statutory liability remains unaffected.
A07External links
The operators of linked external sites are solely responsible for their content. We do not monitor those sites continuously in the absence of concrete indications of unlawful content.
A08Changes
We may amend these terms when our services or the legal framework change. The version published on this page applies.
Part B — General terms for productions and services
Part B applies to all offers, orders and contracts between bi2MEDIA LLC ("we", "us", "the studio") and business clients ("the client") for the research, development, production, post-production and delivery of film, video and audio content and related services. All amounts stated in Part B are net amounts in euros (EUR) and exclude any applicable value-added tax, sales tax or similar duties.
B01Scope and contracting party
The contracting party for every production is bi2MEDIA LLC, a limited liability company registered in the State of Wyoming, USA, operating under the brand BI² FILMWORKS. These terms apply exclusively. Purchasing conditions or other general terms of the client do not become part of the contract, even if we do not expressly object to them, unless we have accepted them in writing. Our services are offered to businesses, public bodies and professionals only, not to consumers.
B02Offers and conclusion of the contract
Our offers are made in writing (email is sufficient) and, unless stated otherwise, remain valid for 30 days from their date. A contract is concluded when the client accepts the offer in writing, signs it or confirms the order by email, or when we confirm the order in writing. Verbal side agreements do not exist. Concept drafts, scene plans and estimates produced by the BI² Concept Studio are non-binding indications; only the written offer determines scope and price.
B03Scope of services
The scope of a production — format, length, number of shoot days, language versions, deliverables, usage rights and distribution — is defined exclusively by the written offer. Services not listed in the offer are not included and are charged separately according to clause 8 or a separate quotation. Within the agreed concept we exercise editorial and creative discretion over research, dramaturgy, camera, sound, editing, music and graphics. Our editorial code applies to every production; we may decline to include statements or material that are unlawful, demonstrably untrue or cannot be substantiated.
B04Prices
All prices are quoted in euros as net amounts. Value-added tax, sales tax or comparable duties are added where they are legally due; where the reverse-charge mechanism applies, the client is responsible for accounting for the tax in its own jurisdiction. Bank charges and currency conversion costs are borne by the client. Prices stated in an offer are fixed for the scope described in that offer.
B05Payment terms
We offer exactly two payment models, one of which is fixed in the offer: (a) 100 % of the agreed price on commissioning, or (b) 70 % of the agreed price on commissioning and 30 % before the shoot, due no later than the agreed shoot day. Invoices are payable within 14 days of the invoice date without deduction, by bank transfer to the account stated on the invoice. The shoot takes place only once the instalment due before the shoot has been received. If the client is in default, we may charge statutory default interest and reasonable collection costs, suspend all work and withhold deliverables and usage rights until full payment has been received.
B06Production period
Unless otherwise agreed in writing, the production is to be shot and completed within six months of commissioning. The client undertakes to provide, within this period, the information, protagonists, locations, approvals and shoot dates required for the production. If the production cannot be completed within six months for reasons within the client's sphere of responsibility — including unavailability of protagonists or locations, outstanding approvals, missing material or repeated rescheduling — the full agreed price becomes due at the end of the six-month period, irrespective of the production status. Our obligation to deliver the outstanding services remains in force subject to our availability and to the fees under clauses 7 and 8. Delays caused by us extend the period accordingly and have no cost consequences for the client.
B07Shoot day, rescheduling and cancellation
Shoot days are agreed in writing. The client may postpone an agreed shoot day free of charge up to 72 hours before the agreed call time, provided a new date can be fixed within the production period; the new date is subject to the availability of the crew. If the client postpones or cancels a shoot day less than 72 hours before the call time, or if the shoot cannot take place on the agreed day for reasons within the client's sphere (for example protagonists unavailable, no access to the location, missing permits), a rescheduling fee of € 3,000 net per shoot day is due to cover crew, equipment and administrative costs. In addition, travel and third-party costs already incurred and non-refundable are charged in accordance with clause 8. The rescheduling fee does not replace the agreed price for the production.
B08Additional services and surcharges
The following services are not included in the offer unless expressly listed there and are charged at the following fixed net rates: additional shoot day — € 3,000 per day; drone and aerial footage — € 2,000 per shoot day, subject to airspace regulations, permits and weather conditions; additional language version, whether subtitled or dubbed, including translation — € 3,000 per language; handover of raw footage (unedited, ungraded camera and audio material as recorded, without post-production) — € 2,000 per production; rescheduling of a shoot day less than 72 hours in advance — € 3,000 per shoot day. Flights, accommodation, ground transport and per diems for the crew are always invoiced separately at cost, 1:1 against receipts, plus a handling fee of 5 %. Other third-party costs approved by the client (for example music or stock licences, studio hire, talent fees, location fees) are invoiced at cost plus 5 %. Revision rounds beyond those included under clause 10 and changes to the approved concept are quoted separately.
B09Obligations of the client
The client provides in good time all information, documents, brand assets, facts, figures and access required for the production, names the persons who will appear in the film and ensures their availability on the agreed dates, provides safe access to the locations and obtains all permissions required for filming there. The client is responsible for the accuracy of the information it provides and for holding the rights to any material (logos, images, footage, music, texts) it supplies for use in the production. The client obtains the consent of the persons who appear on camera or on audio; we provide a suitable release template on request. The client indemnifies us against third-party claims arising from material or information it has supplied or from consents it has failed to obtain.
B10Approval, revisions and acceptance
We present the production for approval in the stages defined in the offer (as a rule: concept, rough cut, fine cut). Two rounds of revisions are included in the agreed price; a revision round consists of one consolidated set of comments from the client on a cut. Further revision rounds, changes to the approved concept, new shoot material and changes requested after approval of a stage are charged separately. The client reviews each stage and sends consolidated feedback within ten business days; if no feedback is received within this period, the stage is deemed approved. The final version is deemed accepted upon written approval or upon its use by the client, whichever occurs first.
B11Delivery and usage rights
Deliverables are provided digitally in the formats stated in the offer. The usage rights granted to the client — in terms of media, territory and duration — are defined in the offer; where the offer grants unrestricted rights, the client may use the delivered versions without limitation of time, territory or media. All rights are granted only upon full payment of the agreed price and of any additional fees; until then, all rights remain with us. Raw footage and project files remain our property and are not part of the deliverables unless the raw footage has been purchased under clause 8. Licences for music, stock material and fonts may be subject to the terms of the respective licensor, which we communicate to the client. We may present the finished production as a reference in our showreel, on our website and in our own communication, unless the client objects in writing or a non-disclosure agreement provides otherwise.
B12Confidentiality
Both parties treat as confidential all information about the other party's business, products, figures, plans and people that becomes known to them in the course of the production and use it only for the purposes of the contract. We sign a non-disclosure agreement on request, bind our crew and post-production partners to confidentiality and store confidential material on access-restricted systems. The obligation does not apply to information that is public, already known to the receiving party or must be disclosed by law. It continues for five years after the end of the contract.
B13Broadcast and distribution by third parties
Where a production is intended for broadcast or publication by a television channel, publisher, platform or other partner, the decision on whether, when and in which edition the production is broadcast or published rests with that partner and its editorial team. We do not guarantee a specific broadcast date, slot, reach, audience figures or commercial outcome. Statements about reach are based on independent media analyses of previous editions and are indicative only.
B14Force majeure
Neither party is liable for delays or non-performance caused by events beyond its reasonable control, including severe weather that prevents filming, illness or accident of key crew or protagonists, strikes, travel restrictions, epidemics, official orders or failures of public infrastructure. Shoot days affected by force majeure are rescheduled without a rescheduling fee; costs already incurred with third parties that cannot be recovered are borne by the client. The production period under clause 6 is extended by the duration of the event.
B15Warranty and liability
We perform our services with professional care and to broadcast standard. We do not warrant any particular commercial, editorial or public response to a production. Complaints about defects in a deliverable must be notified in writing within ten business days of delivery; we will remedy justified defects by rework. Our liability for damages, on whatever legal ground, is limited to intent and gross negligence and, in case of gross negligence, to the amount of the agreed price for the production concerned. We are not liable for indirect or consequential damages, loss of profit, loss of data or third-party claims arising from material or information supplied by the client. Mandatory statutory liability, in particular for injury to life, body or health, remains unaffected. Claims against us become time-barred twelve months after they arise.
B16Cancellation and termination
If the client cancels the order before the shoot, the amounts already invoiced under the agreed payment model remain due and are not refunded; under payment model (b), the 70 % instalment is retained and, if the cancellation occurs less than 72 hours before an agreed shoot day, the rescheduling fee and non-refundable third-party costs under clauses 7 and 8 are also charged. After the shoot has taken place, the full agreed price is due. Both parties may terminate the contract for cause without notice, in particular if the other party materially breaches the contract and fails to remedy the breach within 14 days of a written warning, or becomes insolvent. Services rendered up to termination are invoiced.
B17Data protection
We process personal data of the client, its staff and the persons appearing in a production in accordance with our privacy policy, which forms part of these terms. Where we process personal data on behalf of the client, the parties conclude a data processing agreement on request.
B18Governing law and jurisdiction
These terms and every contract concluded under them are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The state and federal courts located in Sheridan County, Wyoming, have exclusive jurisdiction over all disputes arising from or in connection with the contract; we are, however, also entitled to bring claims before the courts at the client's registered seat. The parties will attempt to settle any dispute amicably before commencing proceedings.
B19Final provisions
Amendments and additions to a contract must be made in writing; email is sufficient. The written offer takes precedence over these terms in the event of a conflict. Should any provision of these terms be or become invalid, the validity of the remaining provisions is not affected; the invalid provision is replaced by a valid one that comes closest to its economic purpose. The client may not assign its rights under the contract to third parties without our written consent. These terms are published in several languages; in the event of discrepancies, the English version prevails.
Version 1.0 — effective 15 September 2026. These terms apply to all offers issued on or after this date and are referenced in every offer.
